On behalf of our client, a Nicosia based, successful and well-established Fiduciary Services Provider we are seeking to recruit for a Corporate Lawyer.
Job Description
This role will see you primarily working and managing affairs of various groups of companies, their administration and corporate, KYC matters.
Comprehensive drafting of agreements and resolutions approving complex transactions, drafting and or review of sale and purchase agreements relating to real estate in Cyprus. Management of complex group of companies and trust structures, re domiciliation and dissolution procedures in Cyprus and for local and offshore companies, direct communication with clients for developing solutions according to clients’ needs.
Knowledge and experience in work with Investment Schemes / Citizenship work and services is appreciated.
Your duties will include, amongst others:
· Overseeing fully corporate matters of Cuprous and offshore companies
· Daily ongoing communication with the relevant persons, clients’ advisors, family offices
· Liaising with the ROC and other governmental bodies in Cyprus
· Drafting and or Review of resolutions, agreements (pledge, loan etc) and / or any other documents
· Amendments of MAA, full scope of work
· Excellent knowledge of KYC and ability to collect KYC
· Ensure that companies affairs are maintained in full order, I e proper conduct of AGMs, KYC review and update,
· Drafting, review of complex and simple POAs, resolutions as well as their high-level legal review
· Ability to board meetings of companies, including PLCs in Cyprus, preparation of agendas, circulation to the board members, attendance of BOD meetings, taking notes, drafting minutes thereafter, post board meeting liaison
· Assisting MD with any matters relating to the establishment of clients managed offices and with various property matters of the Group in Cyprus
· Immigration matters, drafting and review of Reservation and Sales Agreements, Sales Contract and post sales matters, rental agreements, employment agreement as may be needed.
· Other tasks as may be decided by the MD
Minimum Requirements:
Law Degree preferably from a UK University
- At least 5 years of experience as per the requirements outlined within the job description
